These terms and conditions (“Agreement”) apply to your purchase of products and/or services and support (“Product”) sold in the United States by EasyClocking Inc, including its affiliates or subsidiaries. By accepting delivery of any Product, you accept these terms. If you do not agree, contact EasyClocking to return your purchase per our Return Policy.
This Agreement cannot be modified through other documents unless both parties sign a written agreement. Purchase information is available through sales representatives if you do not receive an invoice or acknowledgment.
Payment timing is at EasyClocking's discretion. Unless credit is pre-arranged, payment must arrive before order acceptance via credit card, wire transfer, or other agreed method. Invoices are due per the stated timeframe from invoice date. Orders may be billed in parts and are cancelable at EasyClocking's sole discretion.
EasyClocking is not responsible for pricing, typographical, or other errors in any offer and reserves the right to cancel any orders resulting from such errors.
Shipping and handling are additional unless otherwise stated. Title passes to Customer upon shipment from EasyClocking's facility. You must notify EasyClocking within 2 days of delivery if items are missing, wrong, or damaged.
Sales and other taxes are your responsibility unless you provide a valid tax exemption certificate. Shipping dates are estimates only.
Limited warranties for EasyClocking-branded hardware are found in our Warranty and Guarantee documentation. EasyClocking makes no warranties for service, software, or non-EasyClocking-branded products. Service, software, maintenance, or support is provided “AS IS.” Third-party warranties come from original manufacturers, not EasyClocking.
All software is licensed, not sold. By purchasing, you agree to the applicable license agreements. Title to software remains the property of EasyClocking Inc.
Returns follow our Return Policy. Contact EasyClocking for a Return Material Authorization (RMA) Number before returning products in original packaging. You are responsible for return shipping costs and risk of loss. Any services or software purchased directly from EasyClocking — including technical support, training, installations, and license keys — are non-refundable.
Service offerings vary by product. EasyClocking has no obligation to provide service until receiving full payment. You must back up all data and programs before receiving service. EasyClocking service providers will have no liability for loss or recovery of data, programs, or loss of use of systems.
EasyClocking does not accept liability beyond the remedies set forth herein, including but not limited to any liability for product not being available for use, lost profits, loss of business, or for lost or corrupted data or software. EasyClocking is not liable for consequential, special, indirect, or punitive damages. Liability does not exceed the invoiced amount.
This Agreement and any claims, disputes, or controversies shall be governed by the laws of the State of Florida, without regard to conflicts of law.
You agree to defend, indemnify, and hold harmless EasyClocking and its affiliates from and against any and all claims, damages, costs, and expenses, including attorneys' fees, arising from or related to your use of the Site.
